Terms of Service

Effective date: 23 October 2026

Last updated: 23 October 2026

1. About these terms

These terms are the agreement between you and Fatrao Limited, trading as CouloirIQ ("CouloirIQ", "we", "us"), for the use of the CouloirIQ website, the free corridor check, trade workspaces, the supplier portal, tools and related services (together, the "service").

Fatrao Limited’s statutory company information is on our Company Information page. You can reach us at connect@couloiriq.com.

By creating an account, starting a pilot, buying a plan or otherwise using the service, you agree to these terms. If you use the service for a company or other organisation, you agree on its behalf and confirm that you are allowed to do so; "you" then means that organisation.

CouloirIQ is offered to businesses and professionals. It is not intended for consumers.

2. What CouloirIQ does

CouloirIQ is a trade operations and import compliance platform. It helps you check an import corridor, set up a trade, collect and read trade documents, request documents from suppliers, review letters of credit, follow the shipment, and keep a record of what was done and by whom.

Some parts are free, such as the corridor check on our website. Others need a paid plan, a pilot or a separate purchase. The Pricing page says which is which.

3. What CouloirIQ does not do

Please read this section carefully.

CouloirIQ gives you information and tools to organise a trade. It is not legal, customs, tax, financial or banking advice, and it does not replace a customs broker, freight forwarder, lawyer, bank or other qualified adviser.

  • Requirements and findings. The service shows requirements, findings and sources for a commodity, origin and destination. They are drawn from published sources and from our own research, which is not complete for every commodity and corridor. Where our research stops, the service says so. A requirement that applies to your goods may be missing, and a requirement shown may not apply to your goods.
  • Classification. Commodity search and HS codes are aids. The classification of your goods is your responsibility and is decided by the customs authority.
  • Documents and automated reading. Documents you upload are read by automated systems, including artificial intelligence. A reading can be wrong or incomplete. The service asks you to confirm what was read; a value is yours once you confirm it.
  • Letter of credit checks. A check lists possible discrepancies under the rules it supports. It is not a bank’s examination, and a bank may reach a different conclusion.
  • Warnings and scores. Warnings, holds, scores and recommendations are advisory. The service does not stop you from proceeding. If you proceed against a warning, the decision and its consequences are yours, and the service may record that decision.
  • Authorities and third parties. We do not file declarations, notify authorities or deal with customs, banks, carriers or suppliers on your behalf unless we have agreed that with you in writing.

You remain responsible for your trades, your declarations and filings, your contracts, and for checking anything important with the relevant authority or a qualified adviser before you rely on it.

4. Your account

You must give accurate information when you register and keep it up to date. Keep your sign-in details confidential. You are responsible for what is done through your account and through the accounts of the people you invite to your organisation.

Tell us without delay at connect@couloiriq.com if you believe someone has used your account without permission.

5. Free corridor check and free pilot

The corridor check on our website is free and needs no account.

A new account can start a free pilot. For 3 days you can use workspaces as on the Starter plan, with up to 20 uploaded documents in total for your organisation; once 20 are used, further uploads wait for a plan. No payment card is needed and nothing is charged, including for trades beyond the Starter allowance. The pilot ends by itself when the 3 days are over; to keep using workspaces after that, you choose and pay for a plan. The pilot is available once per account, and not to an account that has already had a subscription or that has promotional access running.

6. Plans, prices and payment

  • Plans. The current plans, what each includes, and their prices are on the Pricing page. Prices are shown in pounds sterling, euros or US dollars. A "trade" is one shipment workspace.
  • Billing. Plans are billed in advance, monthly or annually as you choose, and renew automatically for the same period until you cancel. Payments are taken by our payment provider, Stripe; we do not hold your card details.
  • Taxes. Prices do not include VAT or other sales taxes unless we say so. Where they apply, they are added at checkout or on your invoice.
  • Trades beyond your plan. We do not block your work when you use more trades than your plan includes. Each additional trade in a calendar month is charged at the additional-trade rate shown for your plan on the Pricing page and at checkout. Additional trades are invoiced monthly in arrears, on top of your plan price, and charged to the same payment method. Your billing settings show how many additional trades you have used. If you regularly need more trades, you can move to a larger plan at any time, or ask us to agree a larger allowance. Additional-trade charges do not apply during the free pilot.
  • Separate purchases. The Advanced LC Checker is bought separately and is not included in any plan. What a purchase covers and how long it is valid are stated where you buy it.
  • Custom arrangements. Scale and consolidated-shipment arrangements are quoted individually and may have their own written terms, which take priority over these terms where they differ.
  • Changing plan. You can change plan in your billing settings. An upgrade normally takes effect at once and is charged pro rata; a downgrade normally takes effect at your next renewal. Checkout shows what will be charged before you confirm.
  • Price changes. We may change our prices. A change applies to you from your next renewal, and we will tell you at least 30 days before it does.
  • Late or failed payment. If a payment fails, we will tell you and may limit or suspend the paid parts of the service until it is settled.

7. Cancelling and refunds

You can cancel your subscription at any time in your billing settings. Cancellation takes effect at the end of the period you have already paid for; you keep access until then.

We do not refund payments for a period that has started, except where the law requires it or where we end your subscription for a reason other than your breach of these terms. The free pilot is never charged.

8. Your content

"Your content" means the documents, data and other material that you, your team and the suppliers you invite put into the service.

Your content stays yours. You allow us to host, copy, read and process it as needed to provide the service to you, to keep it secure, and to meet our legal obligations. We do not sell your content.

You confirm that you have the right to put your content into the service and to ask us to process it, including personal information and documents that come from your suppliers and other business partners.

Our Privacy Notice explains how we handle personal information. Where we process personal information in your content on your behalf, we do so as your processor and on your instructions.

You can export your records from the service. What we keep after your account is closed, and for how long, is set out in the Privacy Notice.

9. Suppliers and other people you invite

You may invite suppliers and other participants to provide documents or information through a link or a portal. You are responsible for the requests you send and for making sure that the people you invite are told how their information will be used. People you invite must also use the service in line with section 10.

10. Acceptable use

You must not:

  • use the service for anything unlawful, including evading customs duties, sanctions, export controls or import restrictions;
  • upload material that you have no right to use, or that is fraudulent, forged or deliberately misleading;
  • try to get access to another customer’s data, or probe, disrupt or overload the service;
  • copy, resell or offer the service to others, or use it to build a competing product, except as we have agreed in writing;
  • use automated means to extract data from the service beyond the export features we provide.

11. Our service and intellectual property

We own the service, including its software, design, research, requirement data, text and trade marks. We give you a right to use the service for your own business while you comply with these terms. Nothing in these terms transfers ownership of the service to you.

If you send us suggestions about the service, we may use them without obligation to you.

12. Availability and changes

We work to keep the service available and accurate, but we do not promise that it will be uninterrupted or free of errors. We may change, add or remove features. If we remove a feature that is a material part of a plan you have paid for, we will tell you in advance where we reasonably can.

The service relies on other providers, for example for hosting, payments, email and document reading. Their availability can affect ours.

13. Our liability

Nothing in these terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, or for fraud.

Subject to that:

  • we are not liable for customs duties, taxes, penalties, demurrage, storage, delay, rejected goods, refused payments or other trade losses that result from decisions you make, including decisions made using the service;
  • we are not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss;
  • our total liability to you in any 12-month period, for all claims together, is limited to the amount you paid us for the service in that period, or £500 if greater.

The service is provided "as is". To the extent the law allows, we exclude all warranties and conditions that are not set out in these terms.

14. Suspension and ending the agreement

You may stop using the service and close your account at any time.

We may suspend or end your access if you seriously or repeatedly break these terms, if payment is overdue, or if we must do so to comply with the law or to protect the service or other customers. Where it is reasonable to do so, we will tell you first and give you the chance to put things right.

When the agreement ends, the sections that by their nature should continue, including sections 3, 8, 11 and 13, continue to apply.

15. Changes to these terms

We may update these terms. When we make a change that matters, we will tell you by email or in the service before it takes effect. The date at the top shows when the terms were last updated. If you keep using the service after a change takes effect, you accept the updated terms.

16. General

  • These terms, together with the Privacy Notice and anything stated at the point of purchase, are the whole agreement between us about the service.
  • If a court finds part of these terms unenforceable, the rest stays in force.
  • If we do not enforce a right straight away, we can still enforce it later.
  • You may not transfer your rights under these terms without our consent. We may transfer ours to a company that takes over the service.
  • No one other than you and us has rights under these terms.

17. Law and courts

These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute about them or about the service.
